Terms of Sale

These terms of sale (the « Terms of Sale ») govern subscription to and payment for Servor plans. They supplement the Terms of Use and prevail over any conflicting document issued by the customer, including its general purchase conditions, unless otherwise agreed in writing. This is a courtesy translation; in the event of a discrepancy, the French version prevails.

1. Parties

This contract is entered into between BENODE, a simplified joint-stock company (société par actions simplifiée) with share capital of €1,500, registered with the Trade and Companies Register of Le Havre under number 934 272 030, whose registered office is at 113 boulevard de Strasbourg, 76600 Le Havre, France, VAT FR35934272030 (the « Provider » or « Servor »), and any individual or entity subscribing to a plan in the course of its professional activity (the « Customer »).

2. Purpose

These Terms of Sale set out the financial conditions under which Servor makes the Service available to the Customer, in accordance with the features described at servor.benode.fr and in the documentation in force on the subscription date.

3. Plans and pricing

The applicable prices are those displayed on the pricing page of the website on the subscription date. They are stated excluding tax, in euros.

The annual plan, where offered, corresponds to ten (10) monthly instalments payable in advance for twelve (12) months of service.

Servor may change its prices. New prices apply to existing subscriptions as of the next renewal, after informing the Customer at least 30 days before the renewal date. A Customer who rejects the new pricing may terminate without penalty before it takes effect.

3.1 Per‑seat billing

The Operations and AI plans include 1 seat. A seat corresponds to one Team member. Adding a member mid‑period is billed pro rata temporis from the date they join. Removing a member takes financial effect at the end of the current period: the seat remains payable until that date and gives rise to no refund or credit note.

3.2 AI credits

AI features are metered in credits. One credit corresponds to a unit of consumption computed from the actual cost of the tokens processed by the model: a long request or a multi‑step task consumes more credits than a simple question. The balance and consumption history are available at any time in the interface.

• Monthly credits — included in the AI plan, up to 3,000 credits. They are consumed first, reset at each billing date, and are non‑transferable, non‑carryover and non‑refundable.
• Additional credits — purchased separately, consumed once monthly credits are exhausted. They are not reset and remain valid for as long as the subscription is active. Pricing: 1,000 credits for €3 · 5,000 credits for €12 · 25,000 credits for €50.

Credits do not constitute electronic money, give rise to no cash refund, and are forfeited on termination.

4. No right of withdrawal

As the Service is sold exclusively to professionals acting in the course of their activity, the right of withdrawal under articles L.221‑18 et seq. of the French Consumer Code does not apply.

For the avoidance of doubt, the Customer acknowledges that the Service is digital content supplied immediately upon subscription and expressly consents to its immediate performance.

5. Payment terms

Payment is made by bank card through Stripe Payments Europe Ltd. Servor neither collects nor stores card data: it is transmitted directly to Stripe, a PCI‑DSS certified provider.

Monthly subscriptions are charged on the anniversary date of the subscription; annual subscriptions are charged on subscription and then on each anniversary date. Payment is due in advance, for the upcoming period.

5.1 Value added tax

Prices are exclusive of tax. French VAT at the rate in force is added for Customers established in France. For business Customers established in another EU Member State who provide a valid EU VAT number, the tax is reverse‑charged by the recipient pursuant to article 196 of directive 2006/112/EC. For Customers established outside the European Union, the services are deemed to fall outside the scope of French VAT.

5.2 Late payment

If a charge fails, Servor issues automatic reminders. Failing settlement within 7 days, access to the Service is suspended; failing settlement within 30 days, the subscription is terminated automatically, with data retained for a further 30 days before deletion.

In accordance with article L.441‑10 of the French Commercial Code, any late payment automatically triggers, without prior formal notice, late payment penalties at three times the statutory interest rate, together with a fixed recovery cost indemnity of €40, without prejudice to additional compensation on production of supporting evidence.

6. Invoicing

Invoices are made available in the interface under « Billing » and can be downloaded as PDF. They contain all mandatory particulars, including VAT details and the parties' EU VAT numbers where applicable. Any dispute regarding an invoice must be raised in writing within 30 days of it being made available.

7. Term, renewal and termination

The subscription is entered into for the period selected and renews automatically for successive periods of the same length. The Customer may terminate at any time from the interface, under « Billing ».

Termination takes effect at the end of the current period. Sums paid for the period underway remain acquired by Servor and give rise to no refund, even partial, including where usage was nil or limited.

Servor may terminate the contract on 30 days' notice, or without notice in the event of serious breach by the Customer, under the conditions of article 11 of the Terms of Use.

8. Service level

Servor is bound by a best‑efforts obligation as regards availability. No contractual availability rate is guaranteed on self‑service plans (Free, Operations, AI).

A service level commitment, with penalties where applicable, can only arise from a negotiated and signed Enterprise contract.

9. Warranties and liability

Servor provides the Service as is, with the care and skill expected of a professional in the sector, and in accordance with its documentation. Servor does not warrant that the Service will meet the Customer's particular requirements, nor that it will be free from errors or interruptions.

The provisions of article 12 of the Terms of Use on exclusion and limitation of liability apply in full. Servor's total aggregate liability is capped at the amount excluding tax paid by the Customer over the twelve (12) months preceding the triggering event.

10. Data and reversibility

The Customer remains the owner of its data and may export it at any time from the interface. On expiry of the contract, the Customer has 30 days to complete the export, after which the data is deleted, subject to statutory retention obligations — in particular the retention of invoices for ten (10) years under article L.123‑22 of the French Commercial Code.

Processing of personal data is governed by the privacy policy, which serves as the data processing agreement within the meaning of article 28 GDPR.

11. Amendment of these Terms of Sale

Servor may amend these Terms of Sale. Material changes are notified at least 30 days before they take effect. A Customer who rejects them may terminate without penalty before that date; otherwise, continued subscription constitutes acceptance.

12. Assignment

Servor may assign all or part of its rights and obligations, in particular as part of a restructuring, provided the assignee assumes all commitments in full. The Customer may assign its own only with Servor's prior written consent.

13. Governing law and jurisdiction

These Terms of Sale are governed by French law. Any dispute shall first be subject to an attempt at amicable resolution; failing agreement within 60 days, it shall fall within the exclusive jurisdiction of the courts within the jurisdiction of the Rouen Court of Appeal, notwithstanding multiple defendants or third‑party proceedings, in accordance with article 48 of the French Code of Civil Procedure.
